Terms of Service

1. Parties & definitions

"NXXT", "we", "us" or "our" refers to NXXT Network, the operator of the NXXT platform, based in the Netherlands.

"Platform" refers to all NXXT services including the web application at app.nxxtentertainment.com, the marketing website at nxxtentertainment.com, the NXXT radio service, artist tools and any associated mobile or desktop applications.

"User" refers to any person who accesses or uses the Platform, including listeners, artists and guests.

"Artist" refers to a User who has registered an artist account and uploads or distributes music through the Platform.

"Content" refers to any music, audio, images, text, metadata or other material uploaded or created by a User on the Platform.

2. Account creation & eligibility

2.1 Age requirement

You must be at least 16 years old to create an account on the NXXT Platform. This requirement is based on Article 8 of the GDPR as implemented in Dutch law (UAVG Article 16). If you are under 16, you may only use the Platform with the explicit consent of a parent or legal guardian.

2.2 Account information

You agree to provide accurate, complete and current information when creating your account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You must notify us immediately at [email protected] if you believe your account has been compromised or accessed without authorisation.

2.3 One account per person

Each person may register one personal listener account. Artists may hold one artist account in addition. Creating multiple accounts to circumvent restrictions or bans is prohibited.

2.4 Guest access

Limited access may be available without creating an account ("guest mode"). Guest users are still bound by these Terms.

3. Our services

NXXT provides the following services, subject to these Terms and your applicable subscription plan:

• Music streaming — On-demand playback of tracks from the NXXT catalog
• AI Radio — 24/7 algorithmically curated radio stations across genres
• Artist platform — Tools for artists to upload music, manage profiles and track earnings
• Social features — A social feed, artist following, likes, comments and playlists
• RAISA™ — Personalised music recommendations powered by our AI system
• Artist revenue — Automated calculation and accumulation of royalties based on eligible plays

The specific features available to you depend on whether you are on a Free, Premium or Pro plan (see section 6).

4. Acceptable use

4.1 Permitted use

You may use the Platform for personal, non-commercial listening and, if you are an artist, for promoting and distributing your own original music.

4.2 Prohibited conduct

You must not:

• Upload, distribute or share content that infringes the copyright, trademark or other intellectual property rights of any third party
• Upload content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, or that promotes hatred or discrimination based on race, gender, sexual orientation, religion, nationality, disability or similar protected characteristics
• Attempt to reverse engineer, decompile or extract source code from any part of the Platform
• Use automated tools (bots, scrapers, crawlers) to access the Platform without our prior written permission
• Artificially inflate stream counts, radio plays or any metrics, whether manually or through automated means
• Circumvent any access controls, geographic restrictions or technical protection measures
• Impersonate another person or entity, or misrepresent your affiliation with any person or organisation
• Use the Platform in a way that interferes with or disrupts its operation or the servers and networks connected to it
• Attempt to gain unauthorised access to other users' accounts or any part of the Platform's backend systems
• Upload malicious code, viruses or any software designed to damage or interfere with the Platform
• Solicit personal data from other users without their consent

NXXT reserves the right to remove any content that violates these Terms and to suspend or terminate accounts responsible for such violations.

5. Artist terms

5.1 Content ownership & licence

You retain full ownership of the music and other content you upload to the Platform. By uploading Content, you grant NXXT a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, distribute, transmit, perform and display your Content solely for the purpose of operating the Platform and making your music available to listeners.

This licence continues for as long as your Content remains on the Platform and ends when you remove the Content or close your artist account, subject to cached copies that may remain for a reasonable technical period.

5.2 Content warranties

By uploading Content, you represent and warrant that:

• You are the original creator of the Content or have the full legal right and authorisation to upload and distribute it
• The Content does not infringe any copyright, trademark, moral right, right of privacy or any other right of any third party
• The Content does not contain samples, loops or third-party material for which you do not hold the appropriate licences
• The Content does not violate any applicable law
• You have the right to grant NXXT the licence described in section 5.1

5.3 NXXT Radio placement

Uploading music does not guarantee placement in NXXT Radio stations. Placement is determined by NXXT's editorial and algorithmic criteria, including audio quality, listener engagement and platform guidelines. NXXT may add or remove tracks from radio rotation at its discretion.

5.4 Artist revenue & payouts

Artists earn revenue based on eligible streams and radio plays on the Platform. The current rates are:

• €0.0004 per eligible stream (minimum listening threshold must be met)
• €0.0005 per eligible radio play

These rates may be adjusted as the Platform scales. Artists will be notified at least 30 days in advance of any rate changes.

Payouts are processed once an artist's accumulated balance reaches the minimum threshold of €1,500. Earnings below this threshold are held securely and carried forward. NXXT does not guarantee any level of income — earnings depend entirely on actual, eligible listening activity on the Platform.

Inflated or fraudulent play counts — whether generated manually, through bots, or by any other artificial means — will result in the immediate removal of the relevant Content, forfeiture of the associated earnings and permanent suspension of the artist account. NXXT uses automated systems to detect artificial streaming activity.

5.5 Content removal

NXXT may remove Content that violates these Terms, infringes third-party rights, or is subject to a valid legal notice (such as a copyright takedown request). We will make reasonable efforts to notify the artist concerned, unless legally prohibited from doing so.

6. Subscriptions & payments

6.1 Plans

The NXXT Platform is available under the following plans:

• Free — Limited streaming, live radio, basic social features. No charge.
• Premium — €4.99 per month (excl. VAT). Unlimited streaming, offline downloads, higher audio quality, no ads, unlimited playlists.
• Pro (Artist) — €9.99 per month (excl. VAT). All Premium features plus unlimited music uploads, full analytics dashboard, priority placement in discovery and radio, live revenue tracking and fan chat.
• Label & Management — Custom pricing. Contact [email protected].

6.2 Billing

Subscriptions are billed monthly, in advance, on the date you subscribe. Payment is processed automatically each billing cycle through our payment processor. VAT is charged in addition to the prices listed above, at the rate applicable in your country of residence.

6.3 Cancellation

You may cancel your subscription at any time from within your account settings (Profile → Settings → Subscription). Cancellation takes effect at the end of the current billing period. You retain access to paid features until the end of that period. You will not be charged for the next period after cancellation.

6.4 Price changes

NXXT may change subscription prices. We will notify you at least 30 days before a price change takes effect. If you do not cancel before the change takes effect, your continued use of the Platform constitutes acceptance of the new price.

7. Withdrawal & refund policy

7.1 Statutory right of withdrawal (EU consumer law)

Under the EU Consumer Rights Directive (2011/83/EU) as implemented in Dutch law (Wet Koop op Afstand), you have a 14-day right of withdrawal from your first subscription payment, starting on the date of purchase.

However, under Article 16(m) of the Directive, the right of withdrawal does not apply to digital content or digital services once performance has begun with your explicit prior consent and acknowledgement that you thereby lose your right of withdrawal. By starting to use Premium or Pro features immediately after payment (streaming, downloading, uploading), you acknowledge that performance has begun and the right of withdrawal may no longer apply.

If you have not actively used the service within the 14-day period, you are entitled to a full refund upon cancellation.

7.2 No refunds for elapsed periods

Billing periods that have already elapsed are non-refundable. Cancelling your subscription stops future billing — it does not generate a refund for the current or any past billing period.

7.3 Service disruptions

If the Platform was demonstrably unavailable for an extended period due to a fault on our side, we will consider a proportional refund or credit on a case-by-case basis. Contact [email protected] with details.

7.4 How to request a refund

Send an email to [email protected] with your account email, the date of payment, and the reason for your request. We respond within 5 business days.

8. Intellectual property

8.1 NXXT's intellectual property

The NXXT Platform, including its design, software, RAISA™ technology, branding, graphics and all content created by NXXT, is owned by or licensed to NXXT and protected by Dutch and international intellectual property law. You may not copy, modify, distribute, sell or create derivative works from any part of the Platform without our prior written consent.

8.2 User content

As described in section 5.1, you retain ownership of Content you upload. You grant NXXT the limited licence described there. You do not acquire any rights in NXXT's platform or technology by uploading Content.

8.3 Copyright infringement notices

If you believe your copyright has been infringed by Content on the Platform, please send a written notice to [email protected] including: a description of the copyrighted work, the URL of the infringing content, your contact details, and a statement that you have a good-faith belief that the use is unauthorised. We will investigate and take appropriate action.

9. Availability & modifications

We aim to keep the Platform available 24/7 but do not guarantee uninterrupted availability. The Platform may be temporarily unavailable due to maintenance, updates, server issues or events outside our control.

NXXT reserves the right to modify, suspend or discontinue any feature or part of the Platform at any time. Where a feature available under a paid subscription is permanently removed, we will either provide a comparable replacement or offer a proportional refund for the remaining subscription period.

10. Limitation of liability

NXXT is not liable for:

• Indirect, incidental or consequential loss arising from your use of the Platform
• Loss of data, revenue or profits
• Content uploaded by other users
• Temporary unavailability of the Platform
• Actions of third-party services integrated with the Platform

Where liability cannot be excluded under mandatory Dutch law, NXXT's total aggregate liability is limited to the amount you paid to NXXT in the three months preceding the event giving rise to the claim.

If you are a consumer under Dutch law (as opposed to a business user), mandatory consumer protections under Dutch and EU law apply and are not affected by these Terms.

11. Termination

11.1 Termination by you

You may close your account at any time from within your account settings or by contacting [email protected]. Account closure cancels any active subscription at the end of the current billing period. Artist Content may be retained for a period of up to 30 days after account closure and then permanently deleted.

11.2 Termination by NXXT

NXXT may suspend or terminate your account if:

• You materially breach these Terms and fail to remedy the breach within 7 days of notice
• You engage in fraudulent activity (including artificial streaming)
• You upload Content that infringes third-party rights or violates applicable law
• We are required to do so by law or a court order

Where possible, we will give advance notice before termination. Upon termination for cause, no refund will be due for the remaining subscription period.

12. Governing law & disputes

These Terms are governed by the laws of the Netherlands. Any disputes arising from or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of the competent courts of the Netherlands, without prejudice to any mandatory consumer protection rights you may have under the law of your country of residence within the EU.

13. Changes to these terms

NXXT may update these Terms of Service. If we make material changes, we will notify you by email (if you have an account) at least 14 days before the changes take effect, and update the "Last updated" date at the top of this page.

If you do not agree with the updated Terms, you may close your account before the new Terms take effect. Continued use of the Platform after that date constitutes acceptance of the updated Terms.
